Acceptance of Terms

By accessing or using SOHOCHEQ ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or using any feature of SOHOCHEQ, you confirm that you are at least 13 years of age and have the legal capacity to enter into a binding agreement.

Description of Service

SOHOCHEQ is an AI-powered SaaS platform that provides:

• Social media health analysis (Twitter/X, Instagram, TikTok, YouTube)
• SEO performance analysis via Google PageSpeed Insights integration
• AI-generated recommendations and insights for content strategy
• Influencer scoring and competitive benchmarking
• Subscription-based access tiers with varying feature sets

The Service is provided on an "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

Subscription & Billing

SOHOCHEQ offers the following subscription tiers:

• Billing: Subscriptions are billed in advance on a monthly basis via Stripe
• Cancellation: You may cancel at any time. Access continues until the end of the current billing period
• Refunds: We offer a pro-rated refund within 7 days of initial purchase if you are unsatisfied. Contact us at support@sohocheq.com
• Price changes: We will notify you at least 30 days before any price changes take effect
• Failed payments: If a payment fails, your account will be downgraded to the Free tier after a 3-day grace period

Acceptable Use

You agree NOT to use SOHOCHEQ to:

• Violate any applicable laws or regulations
• Scrape, copy, or redistribute data from the platform without authorization
• Attempt to reverse-engineer, hack, or interfere with the Service
• Use automated bots or scripts to abuse API rate limits
• Resell or sublicense access to the Service without written permission
• Submit false, misleading, or malicious URLs or handles for analysis
• Harass, abuse, or harm other users or third parties

Violation of acceptable use policies may result in immediate account suspension without refund.

Intellectual Property

All content, features, and functionality of SOHOCHEQ — including but not limited to the software, design, logos, text, and AI-generated analysis — are owned by SOHOCHEQ and protected by applicable intellectual property laws.

You retain ownership of any data you submit to the Service. By using SOHOCHEQ, you grant us a limited license to process your submitted data solely to provide the Service.

You may not copy, modify, distribute, or create derivative works from the SOHOCHEQ platform without explicit written consent.

Disclaimer of Warranties

SOHOCHEQ is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to:

• Warranties of merchantability or fitness for a particular purpose
• Guarantees that the Service will be uninterrupted, error-free, or secure
• Accuracy or completeness of AI-generated analysis or recommendations
• Continued availability of third-party data sources (social platforms, SEO APIs)

Limitation of Liability

To the maximum extent permitted by law, SOHOCHEQ and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or unauthorized access to your account
• Decisions made based on AI-generated analysis
• Service interruptions or downtime

Our total liability to you for any claims arising from use of the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

Termination

Either party may terminate the relationship at any time:

• You: Cancel your subscription and stop using the Service at any time
• Us: We may suspend or terminate your account for violations of these Terms, fraudulent activity, or non-payment, with or without prior notice depending on the severity

Upon termination, your right to access the Service ceases immediately. We may retain certain data as required by law or for legitimate business purposes as described in our Privacy Policy.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in New York, NY, except where prohibited by law.
